Governance

The International School of the Basel Region (ISBR) AG is committed to the principles of current best practice in governance. The ISBR AG endorses the Swiss Code of Best Practice for Corporate Governance approved in March 2002 and adheres to the Carver model of Governance for not-for-profit organisations. It also operates within the Swiss Code of Obligations (Art.707-726), Articles of Incorporation, decisions of the General Meeting and stipulations of the Organisational Regulations which form the basis for the duties, composition, competencies and responsibilities of the Board of Directors (Board).

A set of policies defining the relationship of the ISBR AG to the School, and between the Board to the Director of the School and his/her management team are in place and subject to regular review.

Shareholders of the ISBR AG

ISB is owned and operated by the ISBR AG whose shareholders include 22 corporations in the region plus the Association of the International School Basel. The ISBR AG reports to its shareholders annually at the General Meeting of Shareholders and publishes annual reports of its activities including audited accounts.

Association of the International School Basel (AISB)

AISB holds 41% of the ISBR AG’s shares. Its elected representative participates at the Annual General Meeting and other shareholder meetings. Every parent and ISB staff member is eligible and encouraged to become an AISB member. Membership is granted upon completion and submission of the form available on the AISB link and lasts till the parent or staff member leaves ISB.

Board of Directors (Board)

The Board focuses on the overall strategy and Board policy setting for ISB. Elected by shareholders, it currently consists of 9 members, 5 are proposed by the majority corporate shareholders of ISB and the remaining 4 by AISB. Staff members and their partners may not stand for election to the Board. The Director and Board Treasurer of ISB participate as non-voting members.
